1. Overview

This End User License Agreement (“Agreement”) governs the use of EdcoreTMS, a cloud-based Training Management System provided by [Company Name] (“Provider”).

By accessing or using EdcoreTMS, you (“User” or “Tenant”) agree to be bound by this Agreement.

2. License Grant

You are granted a non-exclusive, non-transferable, revocable license to use EdcoreTMS for internal business purposes, including:

  • Course and training management
  • Student administration
  • Payment and operational workflows

No ownership rights are transferred.

3. Multi-Tenant Architecture

EdcoreTMS operates in a multi-tenant SaaS environment:

  • Each tenant’s data is logically isolated
  • Unauthorized cross-tenant access is strictly prohibited

Any attempt to bypass system isolation is a violation of this Agreement.

4. User Responsibilities

You agree to:

  • Provide accurate and lawful data
  • Maintain account credential security
  • Comply with applicable laws (including Singapore PDPA)

You are responsible for all activity under your account.

5. Data Ownership and Processing

  • You retain ownership of all data submitted
  • Provider acts as a data processor
  • Data is used only to:
    • Operate the system
    • Provide services
    • Maintain backups and security

Data is not sold or shared except where required by law or necessary for service delivery.

6. System Availability

EdcoreTMS is provided on a best-effort availability basis.

The Provider does not guarantee uninterrupted or error-free operation.

7. Third-Party Integrations

EdcoreTMS may integrate with external services (e.g., APIs, payment systems, messaging platforms).

  • These services are outside Provider control
  • Functionality may change without notice
  • Users must comply with third-party terms

8. Fees

Where applicable:

  • Fees may be subscription-based or usage-based
  • Non-payment may result in suspension or termination

9. Restrictions

You shall not:

  • Reverse engineer or decompile the system
  • Copy, resell, or redistribute the platform
  • Use the system for unlawful purposes
  • Introduce malicious code or exploit vulnerabilities

10. Security

Reasonable security measures are implemented, but:

  • No system is fully secure
  • Users are responsible for internal safeguards

11. Termination

Access may be suspended or terminated if:

  • Terms are violated
  • Misuse is detected
  • Payment obligations are unmet

Data may be deleted after termination subject to retention policies.

12. Limitation of Liability

To the fullest extent permitted by law:

  • Provider is not liable for:
    • Data loss
    • Business interruption
    • Indirect or consequential damages

Total liability is limited to fees paid in the last 3 months.

13. Indemnification

You agree to indemnify the Provider against claims arising from:

  • Your data
  • Your system usage
  • Regulatory non-compliance

14. Updates

The Provider may update:

  • System features
  • Infrastructure
  • This Agreement

Continued use constitutes acceptance of updates.

15. Governing Law

This Agreement is governed by the laws of Singapore.
